Introduction
and Governance Outline
In order to achieve the Company’s strategic and future objectives and in commitment to the rights of shareholders and other related parties, the Rasiyat Holding Company works within an outlined governance policy based on supervision, accountability, and promotion of professional conduct and an appropriately organized administration.
The Company manages its daily operations in accordance with the rules, policies and regulations determined by the Board of Directors in commitment and in line with the standards set by the Capital Markets Authority and Kuwaiti Companies Law for the application of governance rules.
To each the Board of Directors, the Executive Management and the employees their responsibilities for applying the governance rules originating in their belief that it is the essential foundation for improving the quality of work and success in achieving the objectives of the Company.
Board of Directors
The Board of Directors is responsible for charting the Company’s goals, strategies and future plans. The Board of Directors is accountable for the supervision and application of these goals and plans in order to accomplish its leadership and supervisory role. The Board of Directors consists of non-executive members, who are elected by the General Assembly in accordance with the laws and regulations of the membership of the Board of Directors for a period of 3 years.
The Board of Directors is assured of the ultimate independence in exercising their leadership and supervisory duties in key decision making scenarios.
The Board of Directors members shall possess the sufficient experience and qualifications appropriate to carry out their responsibilities and perform their duties to lead the Company towards achieving its objectives and attain success.

Committees
The Board of Directors ensures the orderliness of work and the strengthening of supervision of the Company through the formation of Committees stemming from the Board itself. The Board of Directors shall oversee these committees and shall define the members and their respective responsibilities.

Executive Management
The Board of Directors has the authority to choose and appoint the Executive Management after reviewing the appointees work experience and credentials, which should match the operational nature of the Company in order to accomplish the organization’s goals and strategies.

The company shall strive through its Board of Directors to adopt, improve and renew its policies and procedures, where the Board of Directors, the Executive Management and the employees shall abide to in order to avoid conflict of interest cases, enhance disclosure and transparency and advance the Company’s relationship with related parties and shareholders.
Corporate Social Responsibility
The Corporate Social Responsibility of Rasiyat Holding Company and its subsidiary, Kuwait Technical College, reflects a clear commitment to supporting social development and promoting humanitarian and inclusive values through a diverse range of initiatives and activities. These efforts included joining the Kuwait Women’s Economic Empowerment Platform (KWEEP) and becoming a signatory to the United Nations Women’s Empowerment Principles (UN WEPs), reinforcing the role of women and supporting the principles of equality and inclusive leadership within the organization. The College also organized a variety of awareness and community events, such as the “Vision of Palestine” seminar, International Women’s Day activities, breast and prostate cancer awareness campaigns, and a blood donation campaign. These initiatives contributed to raising social and health awareness while fostering a culture of social responsibility and human engagement among students, employees, and the wider community.
On the academic and developmental front, Kuwait Technical College remained committed to supporting innovation and strengthening the connection between education and the labor market through hosting the Kuwait National Robotics Competition 2024 and organizing the Second Annual Educational Conference under the theme “Towards New Horizons: Shaping the Future of Education in Kuwait.” In addition, the College held its annual career fair, “With You All the Way,” and the “Project Day” event. The College further strengthened its international presence through strategic partnerships with Fraunhofer Institute UMSICHT and by hosting the “Leadership and Innovation in the Age of AI” program in collaboration with Cardiff University, alongside training agreements with both public and private sector entities. These initiatives contributed to enhancing the skills of students and national talents, expanding training and employment opportunities, and promoting innovation and emerging technologies in alignment with future requirements and Kuwait Vision 2035.
On the environmental, cultural, and sports fronts, Kuwait Technical College launched several initiatives aimed at promoting sustainability and global engagement, most notably the TadwiRe Recycling Initiative, Earth Week activities, and the Terrarium Workshop, all of which focused on reducing the carbon footprint and spreading environmental awareness across the campus. The College also strengthened the concept of cultural exchange and international openness through visits to the South African Embassy in Kuwait, participation in the World Interuniversity Championships in Barcelona, and its sports partnership with CA Osasuna under the “Aupa Ya Kuwait” program. These activities contributed to supporting young talents, fostering teamwork and healthy competition, and reinforcing the Company’s position as a leading institution that combines institutional excellence with social responsibility and sustainability, reflecting its commitment to creating a positive and lasting impact on society.
